This document reflects the actual operation of the platform, but has not yet been reviewed by a lawyer and may evolve before Edouamela's public launch.
These Terms of Service ("Terms") govern access to and use of the Edouamela platform (the "Service").
Edouamela is an international platform that enables project owners, verified providers, businesses, local residents, and investors to collaborate, wherever each of them is in the world.
Registration is open to any adult natural person or duly represented legal entity. The user guarantees the accuracy of the information provided at registration and undertakes to keep it up to date.
A single user may hold multiple roles (for example, Project Owner and Provider) — each role remains subject to its specific conditions.
A Project is a private management space (budget, phases, documents, progress reports). It is never made public in its entirety.
Publishing an Opportunity is an explicit and voluntary act by the Project Owner: they choose precisely which information becomes public. Nothing is ever made public automatically.
Three Marketplaces enable the discovery of published Opportunities: provider search, fundraising, and business opportunities.
Applying to an Opportunity does not commit either party beyond opening a discussion. Access to a Project results exclusively from an explicit invitation sent by the Project Owner after an Application is accepted.
Edouamela is not a party to the transactions, collaborations, or agreements concluded between users. Edouamela provides a space for discovery, matchmaking, and collaboration management — it does not guarantee the execution, quality, or outcome of a project, service, or investment.
Particular point of attention — investments: Edouamela never receives, holds, or transfers investment funds between an investor and a project owner. An amount proposed on the platform does not commit either party and does not constitute a financial transaction carried out on Edouamela.

The user retains ownership of the content they publish and grants Edouamela a limited license necessary for hosting, displaying, and operating the Service. Edouamela is a product developed and operated by CivicAI (Quebec Enterprise Number (NEQ): 2280791601), a company incorporated in Quebec, Canada. Edouamela's trademark, logo, and graphic elements remain the exclusive property of CivicAI, unless otherwise stated.
Payment terms (subscriptions, inter-organization billing, available payment methods) and refund terms are detailed in the applicable specific conditions.
Edouamela may suspend or terminate an account in the event of a violation of these Terms or community rules. The user may request deletion of their account at any time.
The Service is provided "as is." Edouamela does not guarantee that it will be free of interruption or error. To the extent permitted by applicable law, Edouamela's liability is limited to direct damages.
CivicAI's total liability cap, for any and all causes, is limited to the amount actually paid by the user to CivicAI during the twelve (12) months preceding the event giving rise to the claim. For users who have made no payment, CivicAI's liability is limited to the maximum amount permitted by applicable law.
The processing of personal data is described in the Privacy Policy, which forms an integral part of these Terms.
In the event of a material change to these Terms, users will be notified at least thirty (30) days before they take effect, except where an immediate change is required by law, for security reasons, or to prevent fraud.
These Terms are governed by the laws of the province of Quebec and applicable federal laws of Canada.
Any dispute will be submitted to the competent courts of the province of Quebec, Canada, unless otherwise required by a mandatory provision of law.
